sndBOX FREEWARE LICENSE AGREEMENT Version 1.0 - October 17, 2026 Copyright (c) 2026 New Toy Software. All rights reserved. Website: https://www.newtoysoftware.com Contact: contact@newtoysoftware.com This agreement covers the public freeware edition of sndBOX and its accompanying New Toy Software documentation and assets (the "Software"). Third-party components are subject to Section 5. Please read these terms before installing or using the Software. By installing or using it, you agree to these terms. If you do not agree, do not install or use it. 1. FREEWARE LICENSE New Toy Software grants you a nonexclusive license to install and use sndBOX, without a license fee, on compatible Macs that you own or control. Personal, educational, nonprofit, and commercial use are permitted. You may make copies for those installations and for backup purposes. This license has no trial period or scheduled expiration. No purchase, subscription, or donation is required to use the version supplied under this agreement. Future versions may have different terms; those terms will not retroactively change this license for the version you received. Freeware means that use is offered at no charge. It does not make sndBOX public-domain or open-source software. The Software is licensed, not sold. New Toy Software and its licensors retain their respective ownership and intellectual property rights. Rights not expressly granted are reserved, subject to applicable law and Section 5. 2. SHARING AND REDISTRIBUTION You may share the complete, unmodified public sndBOX installer or disk image at no charge, provided that you retain this agreement and all copyright, trademark, and third-party notices. Recipients receive their license directly under these terms. You may not sell, rent, lease, repackage, or charge for access to the Software, bundle it with another product or installer, or add advertising or other software to its distribution without prior written permission from New Toy Software. Do not claim to be its author or imply endorsement by New Toy Software. Linking to the official download website is welcome. These distribution restrictions apply to sndBOX itself. They do not prevent you from charging for your own music, audio work, or services performed using sndBOX. 3. RESTRICTIONS Except as permitted by applicable law or a third-party license, you may not modify, reverse engineer, decompile, disassemble, derive source code from, or create derivative software based on sndBOX. Do not remove or alter its copyright, trademark, or other proprietary notices. This agreement does not grant permission to use New Toy Software names, logos, or trademarks except to accurately identify the unmodified Software and retain its supplied notices. 4. YOUR AUDIO AND EXPORTED WORK You retain your rights in your recordings, files, and other content. New Toy Software claims no ownership of that content or your exported work merely because you use sndBOX to play, process, or convert it. You are responsible for having the rights needed to use your content. You may incorporate the supplied Vinyl and Hum textures into audio work using sndBOX and distribute that work, including commercially, without paying royalties to or crediting New Toy Software. This permission does not authorize extracting or redistributing the supplied texture files as standalone samples or as part of a sample library. No sndBOX license fee, royalty, or attribution is required for your exported work. This agreement does not grant rights in recordings or other material owned by someone else. 5. THIRD-PARTY COMPONENTS AND MANDATORY RIGHTS Third-party components remain subject to their own licenses and notices. Those terms control for the relevant components if they conflict with this agreement. Nothing here limits rights granted by those licenses. sndBOX includes REX technology from Reason Studios. The supplied REX-License.txt contains its General License Agreement and must remain with the Software. It is included inside sndBOX.app under Contents/Resources/REX-License.txt. REX by Reason Studios. Copyright (c) Reason Studios AB. REX is a trademark of Reason Studios AB. Nothing in this agreement excludes mandatory consumer rights, restricts activities that applicable law permits despite a contractual restriction, or limits any right or liability that cannot lawfully be limited. 6. WARRANTY DISCLAIMER To the extent permitted by applicable law, sndBOX is supplied "as is" and without warranty. New Toy Software disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and noninfringement. It does not promise uninterrupted operation, error-free results, recovery of damaged files, or compatibility with every audio file, storage device, or future macOS version. Keep independent backups of important files and check exported audio before relying on it. Software errors, storage failures, and incorrect recovery settings can produce unexpected or unusable results. 7. LIMITATION OF LIABILITY To the extent permitted by applicable law, New Toy Software will not be liable for indirect, incidental, special, or consequential damages, or loss of data, profits, business, or use arising from the Software or this agreement, even if advised that such losses might occur. These exclusions apply only where lawful. They do not exclude or limit liability that applicable law does not allow to be excluded or limited. 8. SUPPORT AND UPDATES New Toy Software may offer support, corrections, or updates at its discretion. This license does not include a commitment to provide them or to continue developing or distributing sndBOX. 9. TERMINATION AND GENERAL TERMS You may end this license by stopping use and deleting your copies of the Software. New Toy Software may terminate it if you materially breach these terms, subject to any notice or opportunity to remedy required by applicable law. On termination, stop using and delete the Software. You do not need to delete your own audio or exported work. Termination does not revoke independent rights under third-party licenses. Ownership, restrictions, warranty and liability provisions, and rights in exported work continue as applicable after termination. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. For permissions or license questions, contact: contact@newtoysoftware.com
